device errors?

I just started getting these when I boot:

Feb 24 01:16:06 isr0987 kernel: Warning: dev (04:c1) tty->count(2) !=

I've narrowed it down and certain programs cause this behavior.
rpc.mountd, lpd, and X-0 that starts with x-windows all grab all the cpu
time now that I have this problem. Is this a hardware problem of some
sort? I've tried it with both 61 and 68. I've done a partial reinstall
and no luck. A friend of mine suggested it was a serial problem but we
only have one serial device (a modem) which we removed and the other two
ports are on a combined ide controller/serial board.

So.. anyone know a fix for this?
