tty->count(1) != #fd's(2) ?

I get these warnings from time to time:
Nov 12 17:38:58 foo kernel: Warning: dev (04:c1) tty->count(1) !=
#fd's(2) in do_tty_hangup
Nov 13 14:06:50 foo kernel: Warning: dev (04:c1) tty->count(1) !=
#fd's(2) in do_tty_hangup

I'm pretty sure it is when I exit from X, but not all the times.
This is kernel 2.0.32pre1, but I have had these warnings since long time
back in kernel history.

What does it mean? Should I be concerned?

BTW, I think the memory leak I experienced in kernel 2.0.31 still exist in
2.0.32p1... The machine has'nt yet ran out of memory, but it is still
decreasing after 4 days of uptime. I'll post a note tomorrow when I'm
sure.
